These Terms of Service ("Terms") govern your access to and use of the RFI Know website, applications, and related services (collectively, the "Service") provided by RFI Know ("RFI Know," "we," "our," or "us").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
RFI Know is a cloud-based software platform designed to assist organizations in completing security questionnaires, RFIs, RFPs, vendor assessments, and similar documentation. Features may include AI-assisted answer generation, historical answer matching, knowledge base creation, document uploads, questionnaire collaboration, commenting, task assignment, attachments, and export.
The Service is intended to assist users in preparing responses. It does not replace professional judgment or independent review.
You are responsible for maintaining the confidentiality of your login credentials. You agree to maintain accurate account information, use a strong password, promptly notify us of any unauthorized use, and accept responsibility for all activity under your account.

RFI Know may offer a free trial period. Unless otherwise stated:
At the conclusion of the trial, continued use of the Service may require payment of the applicable subscription fee. We reserve the right to limit or deny free trials where abuse is suspected.
Certain features require a paid subscription. By subscribing, you authorize us or our payment processor to charge the applicable subscription fees. Unless otherwise stated:
You may cancel at any time; cancellation takes effect at the end of your current paid period, and fees already paid are non-refundable except where required by law. Failure to pay subscription fees may result in suspension or termination of access.
You retain ownership of all content you upload to the Service, including questionnaires, policies, procedures, supporting documentation, attachments, comments, answers, and files ("Customer Content"). You grant RFI Know a limited, non-exclusive, worldwide license to host, store, process, reproduce, transmit, and display Customer Content solely as necessary to provide and improve the Service. Except as described in our Privacy Policy, we do not claim ownership of Customer Content.
You represent and warrant that you own or have sufficient rights to upload Customer Content, that doing so does not violate any law, contract, confidentiality obligation, or intellectual property right, and that it contains no malicious code or unlawful material. You are solely responsible for the legality, accuracy, and appropriateness of Customer Content.
Certain features use artificial intelligence to generate suggested answers, summarize information, or draft responses. AI-generated content is provided solely as an assistance tool. You acknowledge and agree that:
RFI Know shall not be responsible for any loss, liability, regulatory action, contractual dispute, business interruption, procurement decision, security certification outcome, or other consequence arising from reliance upon AI-generated content. The use of AI features is entirely at your own risk.
You agree to use the Service only in compliance with applicable laws and these Terms. You shall not:
We reserve the right to investigate suspected violations and suspend or terminate offending accounts.
We understand that Customer Content may contain confidential business information. Except as necessary to provide the Service, comply with legal obligations, or as otherwise permitted by these Terms or our Privacy Policy, RFI Know will not intentionally disclose Customer Content to third parties. Nothing prevents us from using aggregated or anonymized information that cannot reasonably identify you, disclosing information when required by law, or sharing information with trusted service providers acting on our behalf under appropriate confidentiality obligations.
We employ commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Content. However, no internet-based service or method of electronic storage is completely secure. We do not warrant that the Service will be free from security vulnerabilities, and you acknowledge that transmission of information over the Internet involves inherent risks. You are responsible for maintaining the security of your own systems, devices, passwords, and user accounts.
Customer Content is stored only for the purpose of providing the Service and remains available while your account is active.
If your paid subscription is canceled, we retain your Customer Content for twelve (12) months so you may resubscribe and resume where you left off. If you do not resubscribe within that period, your Customer Content may be permanently deleted. We will notify the account owner by email before deletion. You may also delete your account and its data at any time from Settings.
Deletion from production systems may not immediately remove information from encrypted backups or disaster recovery systems. Customers are solely responsible for maintaining independent backups of information they consider important. RFI Know is not responsible for loss of Customer Content resulting from customer actions, accidental deletion, expiration of accounts, or circumstances beyond our reasonable control.
The Service integrates with or relies upon third-party providers, including providers of artificial intelligence, payment processing, cloud hosting, database hosting, file storage, email delivery, analytics, and error monitoring. A current list of our subprocessors is available in our Privacy Policy.
RFI Know is not responsible for the products, services, policies, security practices, availability, or actions of third-party providers. Your use of third-party services may also be governed by their own terms and privacy policies.
Except for Customer Content, all rights, title, and interest in and to the Service — including software, source code, algorithms, workflows, user interfaces, graphics, trademarks, logos, documentation, databases, designs, and underlying technology — remain the exclusive property of RFI Know and its licensors. Subject to these Terms, RFI Know grants you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes during an active subscription or trial. You may not copy, modify, distribute, sell, sublicense, lease, or create derivative works from the Service except as expressly permitted.
If you voluntarily submit suggestions, feature requests, ideas, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, reproduce, incorporate, publish, distribute, and otherwise exploit such feedback for any purpose without compensation or attribution to you. You represent that you have the right to provide such feedback.
We strive to make the Service available on a reliable basis but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to scheduled or emergency maintenance, software or security updates, infrastructure failures, internet outages, failures of third-party providers, or events beyond our reasonable control. We reserve the right to modify, suspend, discontinue, or replace any feature at any time. No specific uptime percentage or service level is guaranteed unless expressly agreed in a separate written agreement signed by RFI Know.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, RFI Know disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and reliability. RFI Know does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, that AI-generated content will be correct, or that the Service will result in successful security questionnaires, customer approvals, sales, audits, certifications, or compliance outcomes. You assume all risk arising from your use of the Service.
To the maximum extent permitted by law, RFI Know and its affiliates, directors, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunities, contracts, data, or customer relationships, business interruption, reputational harm, security incidents, regulatory penalties, procurement decisions, audit failures, or compliance failures, even if RFI Know has been advised of the possibility of such damages. RFI Know's total aggregate liability arising out of or related to the Service shall not exceed the greater of (a) the total fees paid by you to RFI Know during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100), if no fees have been paid. Some jurisdictions do not allow certain limitations; in those jurisdictions, liability shall be limited to the greatest extent permitted by applicable law.
The Service incorporates artificial intelligence technologies that assist in drafting, organizing, summarizing, and suggesting questionnaire responses. Artificial intelligence is probabilistic and may produce inaccurate information, omit relevant information, misunderstand context, generate outdated information, fabricate citations or references, or produce responses unsuitable for your organization.
RFI Know does not certify, warrant, or represent that AI-generated content is factually accurate, complies with any law or regulation, satisfies customer security requirements, reflects your organization's current practices, or meets contractual obligations. You are solely responsible for reviewing every response before submitting it to any customer, prospect, auditor, regulator, certification body, or other third party. RFI Know shall not be liable for any damages resulting from reliance upon AI-generated content.
You agree to defend, indemnify, and hold harmless RFI Know, its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, actions, damages, liabilities, losses, judgments, penalties, settlements, costs, and expenses (including reasonable legal fees) arising from or relating to your use of the Service, your Customer Content, your violation of these Terms or applicable law, infringement of intellectual property rights, breach of confidentiality obligations, or negligent or wrongful conduct by you or your users. This obligation survives termination of these Terms.
You may discontinue use of the Service at any time. RFI Know may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, present a security risk, threaten the integrity or availability of the Service, or if we reasonably believe your account is being used unlawfully or fraudulently.
Upon termination, your right to access the Service ends, we may disable your account, and Customer Content may be deleted in accordance with our data retention practices.
RFI Know shall not be liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including natural disasters, fires, floods, war, terrorism, civil unrest, labour disputes, internet or cloud infrastructure failures, denial-of-service attacks, telecommunications or power outages, governmental actions, pandemics, or failures of third-party or AI providers. Performance shall be suspended for the duration of the event.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the dispute resolution provisions below, the parties irrevocably submit to the exclusive jurisdiction of the courts located in Ontario, Canada.
Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiations. If a dispute cannot be resolved within thirty (30) days after written notice, either party may commence proceedings in the courts identified in Section 22. Nothing prevents either party from seeking urgent injunctive or equitable relief where necessary to protect confidential information, intellectual property, or other legal rights.
We may revise these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website or through the Service. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and RFI Know regarding the Service and supersede all prior discussions and agreements. No waiver of any provision shall be effective unless in writing, and a failure to enforce any provision shall not constitute a waiver.
